The brand name "Biswas Enterprise" is used by BISWAS ENTERPRISE LTD and, for India-related operations, by FMT INFOTECH PVT LTD. The UK Operation may handle UK and international users, global client communications, technology consulting, project scoping, software development, project management, billing, invoicing, payment collection, contracting, and service fulfilment where the applicable invoice, proposal, SOW, payment page, or written communication identifies BISWAS ENTERPRISE LTD as the contracting or billing entity.
Where BISWAS ENTERPRISE LTD issues the invoice or payment receipt, the contract for that transaction shall be deemed to be between the User and BISWAS ENTERPRISE LTD, unless expressly stated otherwise in writing.

FMT INFOTECH PVT LTD may operate under the brand name "Biswas Enterprise" for India-related operations, including technology support, software development, project coordination, customer support, billing, invoicing, payment collection, operational assistance, compliance coordination, administrative work, and service fulfilment for Indian users or India-routed transactions.
Where FMT INFOTECH PVT LTD issues the invoice, payment link, receipt, GST invoice, proforma invoice, or commercial document, the contract for that transaction shall be deemed to be between the User and FMT INFOTECH PVT LTD, unless expressly stated otherwise in writing.

Relationship Between the UK and India Entities
BISWAS ENTERPRISE LTD and FMT INFOTECH PVT LTD may work together under the same brand name "Biswas Enterprise" for operational convenience, service delivery, support, billing, client coordination, and business continuity.
The two entities may share business leads, client requirements, operational support, project documents, communication records, payment status, and service-related information as required for legitimate business purposes and service fulfilment, subject to applicable data protection laws.
Unless expressly stated otherwise in a written contract, invoice, SOW, or service order, each entity shall be responsible only for the services, invoices, payment obligations, tax obligations, representations, warranties, and liabilities undertaken directly by that entity. Nothing in these Terms shall create automatic joint liability between BISWAS ENTERPRISE LTD and FMT INFOTECH PVT LTD except to the extent required by applicable law.

- "Content" means all text, graphics, software, code, designs, user interfaces, documents, proposals, concepts, plans, reports, trademarks, trade names, logos, brand assets, images, videos, specifications, and other materials displayed on or provided through the Website or Services.

Eligibility and User Representations

- You shall not use a false identity, impersonate another person, misrepresent your business, or submit misleading project requirements.

Registration, Account and Verification
Certain services may require registration, account creation, OTP verification, identity/business verification, KYC-style checks, or third-party login through Google, Facebook, or other permitted platforms. Quotations, Scope and Project Approval
- All prices, timelines, features, and deliverables are subject to the approved proposal/SOW/invoice.
- A project will be treated as approved when you accept a quotation, approve a scope, make payment, or confirm by email, message, ticket, form, or other written communication.
- Any change in scope, additional feature, extra integration, urgent delivery requirement, or modification beyond the approved scope may require additional charges and revised timelines.
- Delays caused by incomplete client information, delayed approvals, third-party service downtime, hosting limitations, external APIs, payment gateway restrictions, or client-side dependencies shall not be treated as delay by the Company.

Payments, Billing and Invoicing
Payments may be collected online or offline through authorised payment gateways, bank transfer, UPI, card, wallet, international remittance, or other approved methods. Payment processing is handled by third-party payment service providers. We do not store full card numbers, CVV, UPI PIN, internet banking passwords, or sensitive payment credentials on the Website.
Depending on the User location, tax position, operational requirement, service fulfilment route, or applicable law, invoices and receipts may be issued by BISWAS ENTERPRISE LTD or FMT INFOTECH PVT LTD. The entity named on the invoice, receipt, payment link, GST invoice, or SOW shall generally be the contracting and billing entity for that transaction.
For India-routed transactions, GST and other applicable Indian taxes may be charged by FMT INFOTECH PVT LTD where required. For UK/international transactions, applicable UK or cross-border tax treatment may apply as per the relevant invoice and applicable law. Users are responsible for providing accurate tax, billing, and registration information.
You agree to pay all charges associated with the Services selected or approved by you. Unless otherwise stated, charges are exclusive of applicable taxes, payment gateway charges, foreign exchange charges, bank fees, chargeback fees, and third-party service fees.

Payment Gateway Disclosure
For payment gateway, bank, acquirer, risk, compliance, and audit purposes, we disclose that Biswas Enterprise offers custom software development and IT service solutions. The business does not sell physical goods through the Website unless expressly stated in a separate written agreement. Where a service is custom-built, delivery is digital and milestone-based rather than physical shipping-based.
Payment gateways and payment service providers may conduct independent risk review, transaction monitoring, KYC, fraud checks, chargeback review, settlement holds, payment reversals, or compliance verification. We are not responsible for payment delays, declines, holds, reversals, or restrictions imposed by banks or payment service providers.

Cancellation, Refund and Return Policy
Because most services are custom, professional, digital, consultancy, or project-based, refunds are assessed according to the stage of work, approved scope, payment milestone, and actual work already performed.
- Before Work Starts: If you cancel before any discovery, planning, design, development, consultation, third-party purchase, or resource allocation has started, a refund may be considered after deducting payment gateway charges, bank charges, administrative costs, or taxes where applicable.
- After Work Starts: Once work has started, fees relating to completed work, time spent, planning, development, consultation, design, documentation, third-party purchases, or allocated resources are generally non-refundable.
- Milestone Projects: For milestone-based projects, amounts paid for completed or active milestones are non-refundable. Future unpaid milestones may be cancelled by written notice, subject to outstanding dues.
- Company Unable to Provide Service: If the applicable Biswas Enterprise entity is unable to provide the agreed Service due to reasons solely attributable to that entity, the User may be eligible for a refund for the undelivered portion, subject to verification.
- Refund Request Timeline: Refund requests must be sent with invoice/payment details and reason for the request. For UK Operation or international transactions, Users may contact support@biswasenterprise.co. For India Operation transactions handled or invoiced by FMT INFOTECH PVT LTD, Users may contact subhajit@fmtserv.com or call +91-9804128112. Refunds, where approved, will be processed to the original payment method or other legally permitted method within a reasonable timeline, subject to banking and payment gateway processing timelines.
- No Refund for Client Delay or Misuse: No refund shall apply for delays caused by the User, incomplete information, change of mind after work has started, non-cooperation, third-party restrictions, prohibited use, breach of these Terms, or services already delivered.
For digital custom software and professional services, the concept of physical return does not apply. Any applicable return/refund treatment shall be governed by this clause and the relevant SOW/invoice.

User Obligations and Acceptable Use
- Use the Website and Services only for lawful purposes.
- Do not submit unlawful, fraudulent, misleading, harmful, abusive, obscene, defamatory, infringing, or prohibited content.

Intellectual Property Rights

Subject to any mandatory consumer law, courts or arbitral tribunals having jurisdiction in London, United Kingdom shall have jurisdiction over disputes relating to such UK Operation transactions.

Where the relevant transaction, invoice, GST invoice, payment receipt, SOW, or service document identifies FMT INFOTECH PVT LTD as the contracting or billing entity, these Terms and the relevant transaction shall be governed by the laws of India. Subject to any mandatory consumer law, the courts at Kolkata, West Bengal, India shall have exclusive jurisdiction over disputes relating to such India Operation transactions.

Mixed or Cross-Border Transactions
Where a transaction involves both the UK Operation and India Operation, the governing law and jurisdiction shall be determined by the entity named on the invoice, payment receipt, SOW, or written contract.
